It appears from a parliamentary return that the railway companies, during the five years of their existence, have decided 152 cases at a cost to the country of £46,866. For very little more than this, two judges might be added to the bench, under which circumstances the jurisdiction in railway matters would not be seriously felt. THE forthcoming anniversary festival of the United Law Clerks Society, which is to take place at the Freemasons' Tavern, on Wednesday, May 21, under the presidency of Earl CAIRNS, promises to be more than usually successful. Among the patrons and honorary stewards will be His Royal Highness PRINCE CHRISTIAN, the DUKE of RICHMOND and GORDON, the DUKE of NORTHUMBERLAND, Earl DERBY, Earl SHAFTESBURY, Earl REDESDALE, the LORD CHIEF JUSTICE of ENGLAND, the MASTER of the ROLLS, and many other judges, and nearly all the leading members of the Bar. WE called attention on the 15th March to the very unsatisfactory result of the decision of the Appeal Court in the case of Dunkirk Colliery Company v. Lever (L. Rep. 9 Ch. Div. 20), and the Profession will therefore be glad to know that a new rule of Court has been enacted which will entirely obviate the inconvenience of the above decision. The MASTER of the ROLLS had treated the report of a referee as a sort of chief clerk's certificate, so that he could adopt it or vary it as he liked; but the Appeal Court decided he could not vary it, but must adopt it wholly or partially, or send it back again for reconsideration. The result of the new rule resolved on at the meeting of the Judges on the 22nd ult., is to give the judge power to decide the case on the evidence taken before the referee, and, therefore, either to adopt or vary his report as the judge thinks proper. This course the MASTER of the ROLLS took for the second time in the above case on the 28th ult., and again decided the case on a different principle entirely to that adopted by the referee. His LORDSHIP said he should not, however, formally give judgment until the new rule had been printed and issued. The parties in the above case might certainly have been saved much expense if the rules referring to referees had been more carefully drawn in the first instance. PENDING the decision in the House of Lords, in the City of Glasgow Bank appeals, as to the liability of trustee shareholders, on which it would be unbecoming at present to offer an opinion, we may, nevertheless, without impropriety, take notice of a some. what strange and certainly ill-founded notion expressed last week by one or two of the daily journals as to the position of the cestuis que trust in the event of its being ultimately held that trustees are personally liable as contributories. That notion, as far as we could understand it, was, that the right of the trustee to be indemnified by the cestuis que trust was limited by the extent of the trust estate, and that for the purposes of indemnity the trust estate would only include the very shares out of which the liability arose-in short, that there would in effect be no indemnity at all. It may be well to look into this matter a little more closely. In English, and probably in every system of civilised law, where one person requests another to hold, as trustee, property which does or may involve onerous duties or liabilities, and such request is acceded to, there immediately arises on behalf of the trustee, a natural equity to be indemnified to the fullest extent, not merely by the entire trust estate and every part of it, but by the creator of the trust personally: (James v. May, L. Rep. 6 Eng. & Ir. App. 328.) Nor, as we apprehend, can a cestuis que trust in such a case be benefited by the insolvency or bankruptcy of the person holding shares in trust, or for a moment be permitted to urge, as against the representative in bankruptcy of the trustee, that the trustee cannot be indemnified against what he has not paid and is unable to pay. The obvious truth in such a case is that the equity to indemnity is part of the bankrupt's assets, and available for general creditors, and of this opinion is evidently Mr. Justice LINDLEY (2 Partnership, 1364, 4th edit.) The value of a contract for indemnity, like that of every other contract, must be assessed on the assumption of the solvency of the parties and not of their insolvency. Cruse v. Paine (19 L. T. Rep. N. S. 127; L. Rep. 6 £q. 641), affirmed, see L. Rep. 4 Ch. Ap. 441, and Re European Assurance Society Arbitration Acts, Ex parte Young and Garratt (40 L. T. Rep. N. S. 83). WHEN We mentioned in these columns the decision of Commissioner KERR in a case analogous to that of Cooper v. The London, Brighton, and South Coast Railway Company, we remarked upon the probability of an appeal to the court above. The appeal was determined in the Exchequer Division on Tuesday last.
